1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern your use of the Farm Admin platform, operated under the business name Farms 360, which is a registered business name of Nou Instant Inc., a company incorporated under the laws of Canada. By accessing or using the Farm Admin platform, you agree to be bound by these Terms.

These Terms apply to all users of the Farm Admin platform, including individual farmers, cooperatives, agribusinesses, their employees, and other entities.

2. Platform Overview

Farm Admin is a modular SaaS platform developed by Farms 360 to support modern farm operations through tools for crop and livestock production, inventory, financials, compliance, and more.

Modules include but are not limited to:

  • Production modules (e.g., My Trees, My Livestock+, My Crops+)
  • Operations modules (e.g., My People, My Tasks, My Financials)
  • Compliance modules (e.g., My Certification)
  • Association modules (e.g., My Coops)
  • Enablement tools (e.g., My Agro Assist AI, My Smart Integrations)

Some modules may only be available with certain subscription plans or integrations.

3. Account Registration and Eligibility

To access Farm Admin, you must:

  • Be at least 18 years of age (or the legal age of majority in your jurisdiction);
  • Provide accurate and complete registration information;
  • Keep your account credentials secure and notify us of any unauthorized access.

You are responsible for all activity that occurs under your account.

4. License and Access

Farms 360 grants you a limited, non-exclusive, non-transferable, revocable license to access and use Farm Admin solely for your farm or agribusiness operations.

You agree not to:

  • Resell, sublicense, or exploit the platform for third-party use;
  • Reverse engineer, copy, or modify the software;
  • Use the platform to engage in illegal or harmful activities.

5. Subscriptions, Fees, and Payments

Some modules and services require a paid subscription. You agree to pay all applicable fees based on your selected plan.

  • Billing: Charges are billed monthly or annually in advance unless otherwise specified.
  • Renewals: Subscriptions renew automatically unless canceled before the renewal date.
  • Refunds: Refunds are provided only in accordance with our Refund Policy 

6. Data Use and Privacy

Your data remains yours. We use your data to deliver services, provide insights, and improve the platform in accordance with our Privacy Policy.

Farms 360:

  • Will not sell your personal or farm data;
  • May use aggregated, anonymized data for research, analytics, or benchmarking purposes;
  • Enables users to control what data is shared (especially in modules like My Coops).

     

You are responsible for ensuring your use of Farm Admin complies with any data laws or regulations applicable to your location or industry.

7. Third-Party Integrations

Some features (e.g., My Smart Integrations) may involve third-party hardware or software providers. Farms 360 is not responsible for the reliability or security of third-party services.

Your use of third-party integrations may be subject to separate terms provided by those vendors.

8. User Content and Conduct

You may upload or input farm-related data, such as planting schedules, livestock health logs, financial records, and team information.

You agree not to upload:

  • Inaccurate or fraudulent data;
  • Malicious code, viruses, or files;
  • Content that infringes on intellectual property or privacy rights.

Farms 360 reserves the right to suspend access if you violate these conditions.

9. Availability and Downtime

We strive to ensure reliable access to Farm Admin but do not guarantee uninterrupted service. Scheduled maintenance or unforeseen technical issues may result in temporary unavailability.

We will provide advance notice for planned maintenance whenever possible.

10. Intellectual Property

Farm Admin, including all software, content, and branding, is the property of Farms 360 and protected by copyright, trademark, and other intellectual property laws.

Users retain ownership of their input data, but grant Farms 360 a non-exclusive right to use it solely to operate and enhance the platform.

11. Termination

You may terminate your account at any time. Farms 360 may suspend or terminate your access:

  • If you breach these Terms;
  • If required by law;
  • If non-payment or misuse occurs.

Upon termination, your access is revoked, but we may retain copies of your data in compliance with legal or operational requirements.

12. Disclaimer of Warranties

Farm Admin is provided “as is” and “as available.” Farms 360 makes no warranties of any kind, express or implied, including but not limited to:

  • Suitability for your specific farm or regulatory needs;
  • Accuracy of predictive analytics (e.g., from My Agro Assist AI);
  • Performance of third-party integrations.

13. Limitation of Liability

To the maximum extent permitted by law, Farms 360 is not liable for:

  • Indirect, incidental, or consequential damages;
  • Loss of data, profits, or revenue;
  • Platform downtime or service interruption.

Our total liability is limited to the fees you paid in the past 12 months.

14. Modifications to Terms

Farms 360 may revise these Terms at any time. Continued use of the platform after changes indicates acceptance of the updated Terms.

We will notify users of material changes via email or platform notification.

15. Governing Law and Jurisdiction

These Terms and any dispute arising from or relating to them shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

You agree to submit to the exclusive jurisdiction of the courts of Ontario, Canada for any legal proceedings arising out of or related to these Terms or your use of the Farm Admin platform.
